1. Agreement to Terms

By accessing or using the D8Nite mobile application ("App") and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

D8Nite is a date night planning application that helps couples discover and plan romantic activities, restaurants, and experiences. The Service uses your location data to provide personalized recommendations in your area.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4. Account Registration

To access certain features of the Service, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

5. Subscriptions and Payments

D8Nite offers subscription-based premium features. By subscribing, you agree to the following:

  • Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your chosen plan).
  • Auto-Renewal: Your subscription will automatically renew unless you cancel at least 24 hours before the end of the current billing period.
  • Price Changes: We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of the next billing period.
  • Cancellation: You may cancel your subscription at any time through your account settings or the app store from which you purchased the subscription. Cancellation takes effect at the end of the current billing period.
  • Refunds: Refunds are handled according to the policies of the app store (Apple App Store or Google Play Store) through which you made the purchase.
  • Free Trials: If you sign up for a free trial, you will be automatically charged when the trial ends unless you cancel before that time.

6. Location Services

The Service uses location data to provide personalized recommendations. By using the Service:

  • You consent to the collection and use of your location data as described in our Privacy Policy
  • You understand that location accuracy may vary based on your device and settings
  • You may disable location services at any time through your device settings, though this may limit certain features

7. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Reverse engineer or attempt to extract source code
  • Use automated systems or bots to access the Service
  • Impersonate any person or entity
  • Share your account credentials with others

8. Intellectual Property

The Service and its original content, features, and functionality are owned by D8Nite and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. Third-Party Services

The Service may contain links to third-party websites, services, or content. We do not control and are not responsible for third-party content, privacy policies, or practices. Your interactions with third parties are solely between you and them.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR RELIABILITY OF RECOMMENDATIONS PROVIDED THROUGH THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, D8NITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify, defend, and hold harmless D8Nite and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes through the App or by email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
